Terms of Service

1. Introduction and Acceptance

Welcome to Deck. These Terms of Service (“Terms”) constitute a legally binding agreement between you and Soho Tech Holdings Pty Ltd, an Australian company (“Deck”, “we”, “us”, or “our”), governing your access to and use of the Deck platform located at getdeck.io and app.getdeck.io (the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.


2. Description of Service

Deck is a customer feedback management platform designed for product-centric teams. The Service enables users to:

  • Upload and manage customer interview recordings and transcripts
  • Utilize AI-powered analysis to synthesize insights from customer feedback
  • Organize and categorize feedback into themes
  • Collaborate with team members on customer research insights
  • Integrate with third-party services such as CRM platforms and communication tools

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your information to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Notify us immediately of any unauthorized access or security breach
  • Ensure that you log out of your account at the end of each session
  • Not share your account credentials with any third party

3.3 Organization Accounts

If you create or join an organization account, the organization administrator may have the ability to access, monitor, and control your use of the Service within that organization.


4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload, transmit, or store content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Use the Service to infringe upon the intellectual property rights of others
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to transmit malware, viruses, or other harmful code
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated means to access the Service without our express written permission
  • Resell, sublicense, or share access to the Service without authorization

5. Your Content and Data

5.1 Ownership

You retain all ownership rights in the content and data you upload to the Service (“Your Content”). Deck does not claim ownership of Your Content.

5.2 License Grant

By uploading Your Content to the Service, you grant Deck a limited, non-exclusive, worldwide license to access, use, process, copy, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or your account.

5.3 AI Processing

You acknowledge and consent to Your Content being processed by third-party AI providers (including Google, Anthropic, and OpenAI) for the purpose of generating insights and analysis. As described in our Privacy Policy, this data is not used to train AI models and is not retained by these providers.

5.4 Your Responsibilities

You are solely responsible for Your Content and represent and warrant that:

  • You have all necessary rights to upload and share Your Content
  • Your Content does not violate any applicable laws or third-party rights
  • You have obtained any necessary consents from individuals whose information appears in Your Content

6. Intellectual Property

6.1 Deck's Intellectual Property

The Service, including its software, design, features, and documentation, is owned by Deck and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

6.2 Restrictions

Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service.

6.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Service (“Feedback”), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation to you.


7. Subscription and Payment

7.1 Subscription Plans

Access to certain features of the Service may require a paid subscription. Details of available plans and pricing are available on our website.

7.2 Payment Terms

By subscribing to a paid plan, you agree to pay all applicable fees. Payment is processed through Stripe, and you agree to Stripe's terms of service. Fees are non-refundable except as expressly stated in these Terms or required by law.

7.3 Subscription Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

7.4 Price Changes

We may change our prices at any time. If you have an active subscription, price changes will take effect at the start of your next billing period, and we will provide you with reasonable notice.


8. Third-Party Integrations

The Service may integrate with third-party services (such as Salesforce, HubSpot, Slack, and others). Your use of third-party integrations is subject to the terms and privacy policies of those third parties. Deck is not responsible for the availability, accuracy, or practices of any third-party services.


9. Service Availability and Modifications

9.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes that may adversely affect your use of the Service.


10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

10.2 Termination by Deck

We may suspend or terminate your access to the Service at any time if:

  • You breach these Terms
  • Your account has been inactive for 365 consecutive days
  • We are required to do so by law
  • We decide to discontinue the Service (with reasonable notice)

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete Your Content in accordance with our data retention practices. Provisions of these Terms that by their nature should survive termination will continue to apply.


11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY AI-GENERATED INSIGHTS OR ANALYSIS.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DECK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED AUSTRALIAN DOLLARS (AUD $100), WHICHEVER IS GREATER.


13. Indemnification

You agree to indemnify, defend, and hold harmless Deck and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to the courts of New South Wales, Australia, and you consent to the exclusive jurisdiction of such courts.


15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Deck regarding the Service and supersede any prior agreements.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

We may provide notices to you via email, through the Service, or by posting on our website. You may provide notices to us at the contact information below.


16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
